“Global Table” is being organised by Food and Wine Victoria Ltd (ACN 106 066 406) (referred to in these terms and conditions as “F+WV”).

In these Exhibitor Terms and Conditions, the following definitions apply:

(i) Applicant” means the person or organisation set out in the Expression of Interest.

(ii) “Event” means the 2019 “Global Table” business event to be staged in the period 3 to 6 September 2024 at the Venue.

(iii) “Exhibitor” means the person or organisation set out in the Exhibitor Application Form who have received an Acceptance Notification and paid the applicable Fees, including but not limited to an Innovation Expo Exhibitor and/or a Trade Zone Exhibitor.

(iv) “GST” means goods and services tax within the meaning of the A New Tax System (Goods and Services Tax) Act 1999 (Cth) (as amended from time to time).

(v) “Exhibitor Decks” means the Innovation Expo Exhibitor Opportunities document and the Trade Zone Exhibitor Options document.

(vi) “Exhibitor Terms and Conditions” means these Exhibitor Terms and Conditions, the Exhibitor Decks and the Exhibitor’s Manual as may be amended by F+WV from time to time.

(vii) “Exhibitor Manual” means the manual(s) referred to in clause 1.2 of these Exhibitor Terms and Conditions containing information relating to exhibiting at the Event.

(viii) “Innovation Expo Exhibitor” means an Exhibitor who showcases product or services in the innovation precinct at the Event.

(ix) “Services” means the services outlined in the Exhibitor Decks, including but not limited to the provision of power, lockable desks and chairs.

(x) “Trade Zone Exhibitor” means an Exhibitor who showcases product or services in the trade zone at the Event.

(xi) “Venue” means the Royal Melbourne Showgrounds, Epsom Road, Ascot Vale, Victoria 3032.

By completing the Exhibitor Application Form as referred to in clause 1.2 for an Event the Exhibitor agrees to be bound by these Exhibitor Terms and Conditions.

1. Application and Payment

1.1 To apply to be an Innovation Expo Exhibitor or a Trade Zone Exhibitor for the Event, the Applicant must register their interest (Expression of Interest) online on the website globaltable.com.au (Website). If the Applicant encounters difficulties registering an expression of interest online, please contact F+WV directly on the phone numbers listed on the Website.

1.2 Following the Applicant’s completion of an Expression of Interest, the Applicant will be emailed a link to the Exhibitor Application Form and Exhibitor Deck.

1.3 The Exhibitor Application Form must be completed in the name of the individual who is applying to exhibit at the Event.

1.4 F+WV will not consider an Exhibitor Application Form, which is incomplete.

1.5 The Exhibitor Application Form is subject to review by F+WV in accordance with the criteria outlined in the Exhibitor Decks and subject to availability. If the Exhibitor Application Form is accepted, it will be confirmed in writing in such form as F+WV determines including but not limited to by email within 14 days after F+WV has reviewed the fully completed Exhibitor Application Form and any required supporting documents (Acceptance Notification).

1.6 F+WV will make all reasonable efforts to offer the Exhibitor stand as requested by the Applicant in the Exhibitor Application Form. At the time of receiving an Acceptance Notification, the Applicant will also be issued a tax invoice for the Fees that will need to be paid by electronic funds transfer or credit card (fees may apply) within 14 days of receiving the Acceptance Notification. The Applicant’s registration as an exhibitor for the Event will be processed when payment has been received by F+WV by the due date (Exhibitor Registration).

1.7 If the Exhibitor Application Form is rejected, F+WV will notify the Applicant in writing in such form as F+WV determines including but not limited to by email within 14 days after F+WV has reviewed the fully completed Exhibitor Application Form and any required supporting documents. All payment of Fees must be paid in full in Australian dollars (AUD).

1.8 The Fees include the price to exhibit at the Event (inclusive of GST) and any other applicable fees as per the Exhibitor Decks.

1.9 All Exhibitor stand fees include basic light, power, and furniture as per the Exhibitor Decks. Any additional requirements above the stand inclusions such as freight & porterage services will incur an additional fee.

1.10 All prices relating to your registration as an exhibitor for the Event listed on the Website and/or in the Exhibitor Decks are inclusive of GST.

1.11 The Fees for the Event are correct at the time of publication. F+WV reserves the right to change the Fees at any time, but changes will not affect registrations for which F+WV has already sent an Acceptance Notification and received payment of Fees by the due date.

1.12 If the Applicant applies and/or is accepted as an Exhibitor for the Event and the Applicant is travelling from interstate or overseas, the Applicant should obtain an Acceptance Notification and make payment of the Fees prior to making or confirming travel arrangements. The Applicant acknowledges and agrees that the Applicant remains solely liable and responsible for any travel arrangements made by it. Personal arrangements including travel and accommodation relating to the Event, which have been arranged by the Applicant, are at its/their own risk.

2. Refunds and Cancellations

2.1 Where permitted, you may cancel all or part of your Exhibitor Registration. All notifications of cancellation of an Exhibitor Registration must:

a) be made in writing and emailed to F+WV [email protected] or [email protected].

2.2 For an Exhibitor Registration, email is received:

a) ninety (90) days or more before the start date of the Event, F+WV will provide the Exhibitor with a refund of the Fees minus an administration fee of AUD$250;

b) fewer than ninety (90) days prior to the start date of the Event, the Exhibitor forfeit all Fees paid by Exhibitor.

2.3 Assessment of cancellation penalties will be done with two business days that the email request for cancellation is received by F+WV.

2.4 Subject to any statutory rights of refund (including, without limitation, the provisions of the Australian Consumer Law) and unless otherwise specified in these Exhibitor Terms and Conditions, registration to exhibit at the Event as generally non-refundable and are not available for exchange.

3. Request for Change

3.1 Where permitted the Exhibitor may request a change to the Exhibitor Registration. All requests of change of an Exhibitor Registration must:

a) be made in writing and emailed to F+WV [email protected] or [email protected].

b) the Exhibitor has provided written notice to F+WV at least thirty (30) days prior to the start date of the Event (Requested Change).

3.2 A Requested Change is subject to availability and payment of the applicable Fees for the change.

4. Event Changes

4.1 An Event’s content and program is accurate at the time of printing. F+WV may make changes to an Event as required, however will use reasonable efforts to provide a program and content of equivalent standard. F+WV reserves the right at any time to vary, amend or cancel any Event or Event times and dates. This includes changes to programs, presenters and speakers. F+WV reserves the right at any time to:

a) change the format, speakers, participants, content, location and timing or any other aspect of the Event;

b) postpone the Event or any part of the Event; or

c) cancel the Event or any part of the Event.

4.2 Should F+WV be required to cancel an Event, F+WV will provide as much notice as possible to all confirmed Exhibitors and this may be updated or reflected on the website by F+WV as soon as it is possible. Exhibitors will also be contacted by email.

5. Provisions pertaining to the Event

5.1 Whilst Event staff and overnight security by accredited security services will be present at various times throughout the Event, all property, display materials and vehicles under the control and custody of the Exhibitor are understood to remain under the control and custody of the Exhibitor and therefore be the total responsibility of the Exhibitor in relation to insurance protection and coverage including in transit to, within the confines of the exhibition boundaries and in transit to and from the confines of the Venue and its boundaries and for the total duration of an Event from the commencement of the set up through until an Event stand is vacated.

5.2 F+WV does not guarantee the number of Event visitors or the level of commercial activity or for any other activity at the Event.

5.3 Wherever possible, Exhibitor stand assignments or other arrangements will be made by F+WV. F+WV reserves the right to move, delete or add Exhibitor stand or make other arrangements and/or make the final determination on all Exhibitor stand assignments or other arrangements without prior consultation with the Exhibitor.

5.4 F+WV does not guarantee exclusivity of the products or services exhibited by the Exhibitor and cannot guarantee similar products or services will not be located adjacent to or near the Exhibitor stand at an Event.

5.5 F+WV reserves the right to alter or change at any time the style or type of Exhibitor access pass required to enter or gain access to an Event. F+WV, its employees, volunteers or security staff also reserve the right to ask for additional identification and where in doubt as to whether the Exhibitor pass is being used by a person or persons who are not entitled to carry that pass. F+WV reserves the right to confiscate the Exhibitor pass and refuse entry to that person or persons.

6. Photographers, publicity and media rights

6.1 By exhibiting at Global Table 2019, the Exhibitor automatically consents to F+WV using event photography and video in which you may appear for future marketing.

6.2 All unauthorised photography and the recording or transmitting of audio or visual material, data or information is expressly prohibited at the Event and/or in or at the Venue.

6.3 The Exhibitor acknowledges and consents that the Exhibitor may be filmed, sound, recorded and/or photographed (Media) by F+WV, the Venue, the media or any other party at the Event and F+WV may use or approve the use of the film, sound recording and/or photograph for any purpose and in any way whatsoever and the Exhibitor assigns all rights which the Exhibitor may have to such Media as well as any intellectual property created by the Exhibitor at or for the purposes of the Event to F+WV. The Exhibitor also agree to execute any other additional documents reasonably required to be executed by F+WV in relation to the matters referred to in this clause 6.3.

7. Exhibitor’s rights, responsibilities and obligations

7.1 The Exhibitor:

a) shall not assign, sublet or share the Exhibitor stand allotted to it with another person, business or organisation unless approval has been obtained from F+WV in writing;

b) is not permitted to display or promote products different from the product category stated in the Exhibitor Application Form;

c) agrees that no exhibits are permitted which interfere with the presentation of other exhibits or impede access to them or impede the free use of the aisles. Exhibitors and staff, including demonstrators, are required to confine their activities within the allocated stand of the Exhibitor’s stand;

d) agrees that all sound presentations, slides, movies or videos are permitted if attuned to a conversational level and if not objectionable to neighbouring exhibitors;

e) is required to have their Exhibitor stand fully staffed at all times while the Event is open to the public. Exhibitors must ensure that all staff working on their Exhibitor stand display appropriate exhibitor passes at all times;

f) must be kept clean and tidy the Exhibitor stand and all rubbish removed to assigned rubbish locations during the course of an Event;

g) must make the most of the Exhibitor stand for promotional opportunities and to maximise the appearance of the stand space in keeping with the standards of an Event;

h) must follow all directions of staff employed or engaged by F+WV, including compliance with relevant laws, Occupational Health & Safety requirements and Venue guidelines whilst at an Event;

i) is required to remove all materials at the completion of an Event and bring the Exhibitor stand back to the condition to which the Exhibitor stand was when the Exhibitor arrived. Failure by an Exhibitor to remove all rubbish and return the stand stand to its former condition will result in additional fees charged for such cleaning and reinstatement.

j) must not connect or otherwise interfere with the Services at the Event. Any such connections or alterations need to be approved by F+WV and Venue and would then be carried out at the expense of the Exhibitor.

k) its servants, agents, licensees, contractors or sub-contractors will be responsible for complying with workplace health and safety standards at all times. Exhibitors, its servants, agents, licensees, contractors and sub-contractors must wear high visibility vests and closed in shoes during the set up and bump out hours of an Event. Children are not permitted on site at a Venue during set up and bump out times as per the Exhibitor Manual.

l) completing additional building works to the Exhibitor stand agrees to complete and return a Safe Work Method Statement (SWMS) supplied by F+WV by close of business on the date stipulated in Exhibitor Manual forwarded to the Exhibitor.

m) acknowledges and agrees that all electrical items brought to an Event must have a valid electrical certification tag(s) on them, including extension leads and power boards. Exhibitors who have additional power requirements must order through F+WV.

n) ordering or requesting power after the due date (date shown in Exhibitor Manual) may be charged additional fees accordingly.

o) acknowledges and agrees that no individual generators and/or gas canisters to be used to power an exhibitor’s stand without the express written permission of both F+WV and the Venue.

p) displaying livestock are responsible for the care, maintenance, management & treatment of such livestock. Exhibitors must adhere to all government regulations and laws related to the movement and treatment of livestock.

q) agree to comply with all reasonable instructions issued by F+WV or the operator of the Venue for the Event and comply with all terms and conditions of the operator of the Venue for the Event.

r) must comply with any particular conditions, rules, regulations or usage requirements of the Venue or of F+WV in connection with an Event.

s) are expected to behave in a professional and appropriate manner at all Events consistent with the law.

t) must also comply with all verbal and written directions given by F+WV or the Venue whilst at, entering, or departing the Venue (including without limitation in respect of an acceptable noise level emanating from the Venue spaces).

u) products must adhere to all Australian manufacturing and health standards and comply with the law and all applicable statutory requirements and regulations.

v) Smoking is not allowed inside the Venue’s buildings or outdoor spaces, including the Venue’s carparks, out buildings or pathways.

8. Indemnity and Release

8.1 The Exhibitor acknowledges that it uses the Exhibitor stand at the Exhibitor’s sole risk.

8.2 The Exhibitor uses the Venue for the Event and all associated facilities at its own risk. To the maximum extent permitted by law , F+WV accepts no liability to the Exhibitor or any third party for any loss of or damage to your equipment, materials or other belongings brought to the Venue, whether by fire, theft, accident, injury or otherwise.

8.3 The Exhibitor and/or Applicant indemnifies and holds harmless F+WV, its employees, agents, contractor and sub-contractors from and against any claim, cost, demand, liability or damage (including legal costs, professional costs and other expenses on a full indemnity basis) incurred by F+WV, its employees, agents, contractors and sub-contractors arising out of or in connection with whether directly or indirectly:

a) any damage, loss, injury or death to or of any person or property caused, contributed to by or omission of the Exhibitor;

b) any damage, loss, injury or death to or of any person or property caused by an act or event beyond the reasonable control of F+WV (“Force Majeure”);

c) any breach of these Exhibitor Terms and Conditions by the Exhibitor;

d) errors or omissions in advertising material for the Event;

e) the Exhibitor’s use of Services and attendance at the Event;

f) the Exhibitor’s occupation of sites at the Event;

g) the Exhibitor’s use or misuse of the Exhibitor stand;

h) the Exhibitor’s sale or supply of products or goods from the Exhibitor stand;

i) any damage to the Exhibit Venue or any goods located at the Venue;

j) the overflow, leakage or escape of water, gas, fire or any other substance into or from the Services and any other Exhibitor at the Event; and

k) the failure of the Exhibitor to notify the Organiser of any defect in the Services.

l) movement, deletion or adding of stand spaces at the Event;

m) alteration or change in traffic flow of patrons and vehicle traffic at the Event;

n) changes in patron and Exhibitor access passes to the Event;

o) errors or omissions in advertising material for the Event;

p) damage, loss, injury or death to or of any person or property on or near the Event;

q) damage or loss to the Exhibitor, Advertiser or Sponsor in connection with the Event or its use or occupancy of the stand at the Event;

r) Services not being available or not working properly at the Event, except to the extent caused by the negligence of the Organiser.

8.4 To the extent permitted by law neither F+WV nor its employees, agents, contractors or sub-contractors will be liable to the Exhibitor, its employees, agents, contractors or sub-contractors for any loss or damage (including any consequential loss) arising out of the Exhibitor’s participation in the Event.

8.5 To the maximum extent permitted by law, the Exhibitor and/or Applicant releases F+WV, its employees, agents, contractor and sub-contractors to the full extent permitted by law from all demands, actions, claims, liabilities, loss damage, cost or expense for or resulting from:

a) the cancellation by F+WV of all or any part of the Event, or postponement of the Event;

b) the exercise by F+WV of any of its rights provided for under these Exhibitor Terms and Conditions;

c) any loss suffered by the Exhibitor due to the failure of supply of electricity or internet facilities;

d) any loss of or damage to the Exhibitor’s property or to the property of a third party regardless of how the loss or damage was caused;

e) any loss suffered by the Exhibitor as a result of the Exhibitor occupying and using the Exhibitor stand;

f) the death of or injury to any person occupying, being present in or in the proximity to, or using the Exhibitor stand; and

g) the theft of the Exhibitor’s property while in the Exhibitor stand.

8.6 You release F+WV from any action, suits, proceedings, claims, demands, costs and expenses, incurred in connection with F+WV’s acts or omissions in relation to, arising out of or in connection with these Exhibitor Terms and Conditions and/or the Event.

9. Insurance and Risk Management

9.1 F+WV will not be responsible for the Exhibitor’s or the Exhibitors’ employee’s safety at the Venue or security of property or any kind brought to the Venue.

9.2 The Exhibitor is required to have for the duration of the set-up, Event and pull-down periods, the following insurance with a reputable insurer:

a) Public Liability Insurance of no less than $10 Million AUD for any one occurrence that extends to cover claims made under Australian Jurisdiction. The policy should also include Third Party Property in Your Care Custody and/or Control cover for a minimum of $100,000.

b) Employee Injury Insurance (including personal accident and sickness).

9.3 The Exhibitor shall supply to F+WV a Certificate of Currency signed by the insurer as evidence of the existence of such coverage at least 30 days before the Event, noting thereon the interest of F+WV.

9.4 The Exhibitor acknowledges that then Event stands can be hazardous. Exhibitors are required to take due care and attention in order to prevent injury and property damage.

9.5 In the event of an incident or accident the Exhibitor is responsible for immediately notifying the site office located at the Event of such incident or accident and no items are to be removed from the stand space without the prior approval of F+WV.

9.6 Exhibitors are required to notify F+WV’s site office located at the Event, and complete an Incident Report Form, in writing, to inform F+WV of any site incident or accident and provide supporting evidence of such incident or accident.

10. Privacy Policy

10.1 The Exhibitor and/or Applicant acknowledges and consents to F+WV collecting, processing and using the Exhibitor and/or Applicant (if a natural person), its officers, agents, employees, contractors and invitees personal information (within the meaning of the Privacy Act 1988 and other application privacy legislation) for the purposes of processing the Exhibitor Application Form, exhibition at the Event, administering and providing services under or connected with these Exhibitor Terms and Conditions or as is reasonable for the Event and for any other use to which the Exhibitor and/or Applicant has consented to.

10.2 The Exhibitor acknowledges and consents to F+WV disclosing the Exhibitor’s personal information collected to third parties such as sponsors, service providers or debt collection agents for the purpose of assisting with the Event or the purposes mentioned in clause 8.1, for example third parties who assist with the advertising or sponsorships on behalf of the Exhibitor. The information may also be disclosed to any entity that may subsequently administer the Event or if required or authorised by law.

10.3 F+WV Privacy Policy contains further information about how F+WV collects, uses, discloses and handles your personal information (please refer to globaltable.com.au). The Privacy Policy also contains information on how the Exhibitor and/or Applicant can access and seek a correction of your personal information.

10.4 The Exhibitor agrees to ensure all personal information obtained in connection with the Event is handled in accordance with the Privacy Act.

10.5 You must not do anything to cause or contribute to F+WV breaching the Privacy Act.

11. Non-compliance and termination

11.1 Should the Exhibitor and/or Applicant fail to comply with these Exhibitor Terms and Conditions, F+WV has the authority to, without prejudice, immediately cancel the Exhibitor’s stand by means of a written notification at their stand, or by written email notification if in advance of the Event.

11.2 Any failure by Exhibitor and/or Applicant to promptly comply with any provision of these Exhibitor Terms and Conditions and the Exhibitor Application Form (Non-Compliance) will constitute a breach of contract and may, if F+WV elects in its sole discretion, result in closure (or restriction) of the Exhibitor’s Exhibitor stand, and/or termination (or restriction) of the Exhibitor’s rights at future F+WV events; in each case (except as otherwise provided in the Exhibitor Terms and Conditions) without any right to refund or compensation to Exhibitor.

12. General

12.1 F+WV reserves the right to amend these Exhibitor Terms and Conditions from time to time.

12.2 Any failure, delay or relaxation on the part of a party in exercising, in part or whole, any power, right or remedy conferred upon F+WV by these Exhibitor Terms and Conditions shall not operate as a waiver of that power, right or remedy.

12.3 If any provision of these Exhibitor Terms and Conditions is invalid or not enforceable by a court of competent jurisdiction, the relevant term is to be read down and shall otherwise be capable of being severed to the extent of the invalidity or unenforceability without affecting the remaining provisions of these Exhibitor Terms and Conditions.

12.4 These Exhibitor Terms and Conditions are governed by and are to be construed in accordance with the laws in force in the State of Victoria, Australia. Each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of Victoria, Australia and waives any objection that it may have that proceedings have been brought in an inconvenient forum.

12.5 Applicants for the Trade Zone are offered the opportunity to register to be a part of Food Industry Australia Ltd.’s Australian Food Catalogue (AFC). While a response is compulsory as part of the Application, it is not a requirement for an applicant to register for the AFC.
